These Terms & Conditions (“Terms”) are a binding agreement between you and Willowstick Technologies, LLC, a Guardian Resources company (“Willowstick,” “we,” “us,” or “our”). By accessing or using willowstick.com or a Willowstick-operated preview or successor website (collectively, the “Website”), you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.

1. Eligibility and authority

You must be legally capable of entering into these Terms. If you use the Website for a company, public authority, consultancy, partnership, or other organization, you represent that you are authorized to accept these Terms on its behalf, and “you” includes that organization. The Website is intended primarily for professional and business users and is not directed to children under 13.

2. Informational purpose; no service engagement

The Website describes Willowstick’s capabilities, methods, applications, experience, and selected project or research materials for general informational purposes. Website content, a contact-form submission, an introductory conversation, or a request for an assessment does not create a client, consultant, fiduciary, confidential, or other professional relationship and does not obligate Willowstick to accept or evaluate a project.

Geophysical, geological, engineering, scientific, commercial, scheduling, pricing, and other services are provided only under a separately executed written agreement. If a signed agreement applies to services or deliverables, that agreement controls over these Terms with respect to those services or deliverables.

3. Technical information and no professional reliance

Website descriptions of MM-ECD (the Willowstick Method), Microseismic Resonance (MSR), Gamma Scintillation, LiDAR, photogrammetry, remote sensing, triaxial electromagnetic methods, modeling, and related technologies are simplified summaries. These methods produce indirect measurements, observations, or modeled interpretations whose suitability, resolution, uncertainty, and limitations depend on site conditions, survey design, data quality, access, geology, hydrology, infrastructure, operating conditions, and the question being investigated.

Images, animations, case studies, maps, models, depth ranges, pathways, anomalies, and outcomes shown on the Website are illustrative or project-specific and are not representations that the same method, result, accuracy, schedule, or outcome will apply elsewhere. No Website content is a substitute for a site-specific scope, qualified professional judgment, direct investigation, regulatory review, instrumentation, emergency response, or other evidence appropriate to a particular decision.

Do not make engineering, safety, environmental, mining, investment, drilling, excavation, construction, operational, regulatory, or emergency decisions solely in reliance on Website content.

4. Permitted use and limited license

Subject to these Terms, Willowstick grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website and to download or print reasonable excerpts for your internal, lawful evaluation of Willowstick’s capabilities. No other right or license is granted by implication, estoppel, or otherwise.

5. Prohibited conduct

You may not use the Website in a manner that violates law, infringes rights, compromises security, interferes with other users, or exceeds the limited permission above. Without limiting that rule, you may not:

• Copy, republish, sell, license, distribute, publicly display, or create derivative works from substantial Website content without prior written permission, except as allowed by applicable law.
• Misrepresent Website content, remove proprietary notices, imply Willowstick endorsement, or use Willowstick materials in a misleading or unlawful manner.
• Attempt to gain unauthorized access to the Website, related systems, accounts, data, or networks; probe or circumvent security controls; or introduce malware or harmful code.
• Use automated means in a manner that disregards applicable robots instructions, evades access controls, extracts content for unauthorized republication, or imposes an unreasonable load on the Website. Ordinary indexing by legitimate search engines is not prohibited.
• Submit false, fraudulent, unlawful, infringing, malicious, or unauthorized information, or impersonate another person or organization.
• Use the Website in violation of applicable export-control, sanctions, anti-corruption, privacy, intellectual-property, or computer-misuse laws.

6. Intellectual property

The Website and its selection, arrangement, text, designs, graphics, photographs, videos, animations, maps, models, software, code, data visualizations, logos, trade dress, and other content are owned by or licensed to Willowstick and are protected by copyright, trademark, patent, trade-secret, and other intellectual-property laws. Certain technologies and methods described on the Website may be protected by patents or other proprietary rights.

WILLOWSTICK, the Willowstick name and logos, the Willowstick Method, Guardian Resources names and logos, and related marks are trademarks or service marks of their respective owners. You may not use any mark without the owner’s prior written permission. All rights not expressly granted are reserved.

7. Publications, case studies, and third-party materials

Some Website materials may summarize published research, client projects, conference presentations, public records, or information supplied by third parties. Third-party names, marks, data, and materials remain the property of their owners and may be subject to separate terms. A project description may be abbreviated, anonymized, or presented for a limited purpose and should be read with any stated assumptions, captions, qualifications, and source material.

8. Project inquiries and submissions

If you submit information through the Website, you represent that the information is accurate to the best of your knowledge, that you are authorized to provide it, and that our receipt and use of it as described in the Privacy Policy will not violate law or another person’s rights. You retain ownership of information you submit, but you authorize Willowstick and its service providers to host, transmit, review, reproduce, and use it as reasonably necessary to respond to the inquiry, assess potential services, maintain business records, protect systems, and comply with law.

Do not use the Website to transmit trade secrets, export-controlled technical data, regulated personal information, security credentials, or confidential project materials. A submission is not confidential merely because it is marked confidential. Confidentiality obligations arise only under a written agreement signed by an authorized Willowstick representative.

9. Third-party links and services

The Website may link to or integrate third-party websites, publications, maps, conference platforms, social networks, or services. Those resources are provided for convenience and may have separate terms and privacy practices. Willowstick does not control and is not responsible for third-party availability, security, accuracy, content, products, services, or practices. A link does not imply endorsement unless we expressly say so.

10. Website availability and changes

We may modify, suspend, restrict, or discontinue any part of the Website at any time without liability or notice, subject to applicable law. We do not promise that content will always be available, complete, current, accurate, or free from interruption, delay, technical error, or harmful components. We may correct errors and update or remove materials without obligation to preserve a prior version.

11. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WILLOWSTICK DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WILLOWSTICK DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR SUITABLE FOR A PARTICULAR SITE, PROJECT, DECISION, OR RESULT. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WILLOWSTICK, GUARDIAN RESOURCES, THEIR AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OPPORTUNITY, OR GOODWILL; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THOSE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT, IF ANY, YOU PAID WILLOWSTICK SPECIFICALLY FOR ACCESS TO THE WEBSITE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations allocate risk between the parties and apply regardless of the legal theory asserted. They do not limit liability that applicable law prohibits us from limiting. Liability relating to separately contracted services is governed by the applicable written agreement.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Willowstick, Guardian Resources, their affiliates, and their respective officers, directors, employees, contractors, licensors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs and fees arising from your unlawful use of the Website, your material violation of these Terms, or information you submit that infringes or violates another person’s rights. This obligation does not apply to the extent a claim results from the indemnified party’s own unlawful conduct.

14. Governing law and venue

These Terms and any dispute arising from them or the Website are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. Subject to any mandatory law that provides otherwise, the state and federal courts located in Utah County, Utah will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Changes to these Terms

We may revise these Terms from time to time. The effective date above identifies the current version. Changes become effective when posted unless a later date is stated. Your continued use of the Website after revised Terms take effect constitutes acceptance of those Terms. If you do not agree to a revision, stop using the Website.

16. General provisions

If any provision of these Terms is found unenforceable, it will be modified only to the minimum extent necessary or severed, and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign or transfer these Terms without our written consent; we may assign them in connection with an affiliate transaction, financing, reorganization, merger, acquisition, sale of assets, or by operation of law. Headings are for convenience only.

These Terms and the Privacy Policy are the entire agreement between you and Willowstick concerning use of the Website and supersede prior Website-use understandings. They do not amend a separate written services, confidentiality, licensing, employment, or other agreement.
